1. Who we are

Zaags (“Zaags”, “we”, “us”) is a software platform operated by RUDLU Unipessoal Lda, a company registered in Portugal (NIPC 516730304, registered office 27A Rua da Bela Vista à Graça, 1170-058 Lisboa, Portugal), operator of zaags.app, zaags.com and related websites. By creating an account or using any of our websites (including zaags.app) you agree to these Terms. If you do not agree, do not use the service.

2. What Zaags is (and isn’t)

Zaags provides software tools: a private AI workspace and a website builder that publishes bookable business websites. We provide the tools only. We are not a web-design agency, a marketing agency, a payment institution, or a party to any agreement between a Designer and their client. The service is provided “as is”, without warranty that it will be uninterrupted or error-free.

3. Accounts

You sign in with a Google account and are responsible for activity under it, for the accuracy of the information you provide, and for keeping your access secure. You must be at least 18 and able to enter a binding contract. We may suspend or close accounts that breach these Terms.

4. Designers

A “Designer” is an independent user who builds and hands over websites for third-party businesses. Designers are independent contractors — not employees, agents or partners of Zaags — and must not present themselves as such.

• The Designer alone is responsible for the design work: its quality, accuracy, timeliness, fitness for purpose, the content published, the rights to all text, images, logos and fonts used, and first-line support to the client.
• Any dispute about the design — quality, scope, delivery, revisions or refunds — is solely between the Designer and their client. Zaags is not a party to it and accepts no liability for it. Our role is limited to providing the platform.
• Designers set their own fee (within the platform’s limits), invoice and collect it directly from the client, and are solely responsible for their own tax, VAT and social-security obligations. Zaags keeps a platform commission as set out in the Designer Rule Book; the Designer pays that commission to Zaags.
• Designers must accept and follow the Zaags Accredited Designer Rule Book (including its prohibited-content rules), which forms part of these Terms for Designers.

5. Site owners & clients

A “Site Owner” is the business a website belongs to.

• The Site Owner is responsible for the content of their website, for its lawfulness in their jurisdiction, and for their own dealings with their customers (bookings, orders, refunds, complaints). Zaags is not responsible for a site’s content, its bookings or its orders.
• Keeping a site online requires a yearly Zaags subscription (from €39.99/year), separate from any one-off design fee paid to a Designer. The design fee and the Zaags subscription are two separate payments to two separate parties.
• Where a Site Owner uses their own connected services (Google, Stripe, a mailbox), those are governed by those providers’ own terms.

6. Payments

• Design fees are paid by the client to the Designer directly. Zaags does not hold or process this money, except where a site explicitly opts into Zaags/RUDLU Unipessoal Lda collecting a shop’s payments, in which case RUDLU Unipessoal Lda settles with the owner and handles the related VAT.
• Zaags subscriptions and commissions are processed through our payment provider (Stripe). Prices are shown before purchase; taxes are added where applicable. Fees are non-refundable except where required by law.
• Automatic renewal. Subscriptions are recurring: unless stated otherwise at purchase, they renew automatically at the end of each billing period (monthly or yearly, as selected) and the payment method on file is charged the then-current price until you cancel. You can cancel at any time from your account or by contacting us; cancellation stops future renewals and takes effect at the end of the current paid period, with no further charges. We give notice of any price change before it applies to a renewal.
• Zaags credits (used to run AI tools and paid features such as publishing a listing) have no cash value, are non-refundable and cannot be exchanged for money. If an account is suspended, banned or terminated for a policy violation or other breach of these Terms, any remaining credit balance is forfeited and will not be reimbursed.
• Invoices. We issue invoices in accordance with Portuguese tax rules, showing IVA (VAT) where applicable, using the billing name, tax number and address you provide at the time of payment. Please enter these correctly before paying — we do not re-issue or amend an invoice afterwards (for example for a changed address or a tax number added later).

7. Acceptable use

You must not use Zaags to build, host or facilitate anything unlawful, or the categories listed in the Designer Rule Book (illegal activity; content harmful to or targeting minors; adult content accessible to minors; gambling; weapons, illegal drugs or regulated substances without authorisation; hate speech or incitement; fraud, phishing or malware; counterfeit goods or IP infringement). We may remove any site or content and suspend any account for a breach, at our discretion. If an account is banned or terminated for a policy violation, any fees already paid are non-refundable and any remaining credit balance is forfeited and will not be reimbursed (see section 6).

8. Intellectual property

You keep ownership of the content you upload. Zaags keeps ownership of the platform, its software and its brand. Once a site is handed over, the Site Owner owns their site’s content, and the Designer must respect that ownership.

Your content, your responsibility. You may upload, post or share only content you created yourself or are legally entitled to use. It is strictly forbidden to post or re-post photos, videos, text, music or any other material that is not yours or for which you do not hold the necessary rights. You are personally and solely liable for everything you publish, and you accept full responsibility for any copyright, trademark, privacy or other claim arising from it — you indemnify Zaags/RUDLU Unipessoal Lda against such claims (see section 11). We operate a notice-and-takedown process: if you believe content on the platform infringes your rights, contact us with the details and we will remove infringing material and may suspend or terminate repeat infringers.

9. Data & privacy

We process personal data in line with our Privacy Policy and applicable law (including the GDPR). Each user is responsible for having a lawful basis for the personal data they collect through their own site and for that site’s own privacy and cookie notices.

10. Liability

To the maximum extent permitted by law, Zaags/RUDLU Unipessoal Lda is not liable for: the acts, omissions or work of any Designer or Site Owner; disputes between a Designer and a client; the content, availability, bookings or orders of any published site; lost profits or indirect or consequential loss; or failures of third-party services (Google, Stripe, translation, hosting). Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim. Nothing here excludes liability that cannot be excluded by law, including statutory consumer rights.

11. Indemnity

You agree to indemnify Zaags/RUDLU Unipessoal Lda against claims arising from your use of the service, the content you publish, your breach of these Terms, or (for Designers) your dealings with your clients.

12. Termination

Either party may stop using the service at any time. We may suspend or terminate access for a breach of these Terms. Sites whose subscription lapses may be suspended or removed.

13. Changes

We may update these Terms; material changes will be notified in the app or by email. Continued use after a change means you accept it.

14. Governing law

These Terms are governed by the law of Portugal, and the competent Portuguese courts have jurisdiction, subject to any mandatory consumer-protection rules of your country of residence.

15. Listings marketplace — advertiser & user terms

These additional terms apply when you publish or browse property listings on Zaags Listings and form part of these Terms. By publishing a listing you accept them.

• Our role. Zaags Listings is an intermediary that only puts people in contact. We are not an estate agency, we do not take part in, verify or guarantee any sale or rental, and we are not a party to any agreement between advertisers and interested parties. Prices and details in a listing are the advertiser’s, not an offer from us.
• Do your own verification. We do not verify or guarantee any listing, advertiser, property or price. Interested parties should independently and fully verify everything that matters to them — the advertiser’s identity and right to advertise, ownership, licences, the property’s condition, price, energy certificate and legal status — and take professional advice before paying any money, deposit or signing anything. Never send money or personal documents based on a listing or message alone.
• Eligibility & registration. You must be at least 18. To publish you must register and provide the information we request (including your name and a tax number and billing country/address for invoicing); we may verify your identity and legitimacy and refuse or suspend the service if information is missing or false, or if a private account is used for professional activity.
• Accuracy & ownership. You warrant that every detail is true, accurate, complete and current, and that you are either the owner of the property or hold a valid mandate or contractual right from the owner (and any co-owners) to advertise it. You must keep the listing updated, comply with all applicable law, and be able to evidence that authority if we ask. You are solely responsible for your listing and for any loss arising from it.
• Photos & media. Images must show the actual property and its real current state, be relevant, and be free of watermarks, logos, framing, text or contact details; no collages, duplicates or unrelated images. Any AI-generated, virtual-staging or edited image must be clearly identified as simulated and shown alongside genuine photos. Do not upload images containing other people’s personal data (faces, vehicle plates); we may remove or blur them. We add a light “powered by Zaags” mark to listing images.
• One real property per listing. One listing per property; the correct operation type — sale or long-term rent only (no short-term, touristic or local-lodging rentals) — and the correct location. No duplicate, bait or fake listings, and no re-listing, churning photos/descriptions or other tricks to game ranking or trigger alerts. The exact address is required to place the property on the map even when you hide the address (which only shows an approximate ~500 m area publicly).
• Contact only through Zaags. Enquiries happen through in-app messaging — do not put phone numbers or emails in the listing. Respond to enquiries diligently; persistent non-response may be treated as harmful to the service.
• Prohibited content. No discriminatory, hateful, obscene, misleading, defamatory or unlawful content; nothing that reveals third parties’ personal data without consent; no false prices or deceptive claims; no scraping, bots, framing, deep-linking or automated copying of the marketplace, and no attacks on or overloading of our systems.
• Moderation, reporting & enforcement. We use automated and AI tools (including image safety checks and pattern detection) together with human review to keep the marketplace safe, and users can report a listing or a message to us. For a breach we may hide, restrict, quarantine or remove a listing and, with notice, suspend or delete your account, and ban an advertiser — blocking their email from re-registering — and suspend all their listings, without compensation. We may, but are under no obligation to, ask for proof of identity or ownership before restoring a quarantined listing, and we are under no obligation to restore it.
• Content licence. You keep ownership of what you upload, but you grant Zaags a worldwide, sublicensable licence, for the maximum period allowed by law, to host, reproduce, adapt and publicly display your listing content, to add our watermark, to promote the marketplace, and to use listing data (including after a listing is removed) for valuations, price history, statistics and market references. You confirm you hold the necessary image, data-protection and intellectual-property rights.
• Fees, duration & refunds. Publishing costs Zaags credits (different pricing for individuals and professionals) and we never charge until a listing is actually published (after our checks). A listing stays live for a fixed period (currently 3 months) and then expires; editing a live listing costs nothing more and does not shorten its remaining time, but re-publishing an expired, withdrawn or suspended listing requires paying again. Credits are non-refundable once a listing is published, including if it is later withdrawn or removed for a breach. Optional paid extras (e.g. boosts, the AI description helper) are billed in credits and may carry their own conditions. Where a right of withdrawal applies (Decree-Law 24/2014), by asking us to publish immediately you consent to the service starting and lose that 14-day right.
• Liability. To the maximum extent permitted by law we are not liable for the accuracy or legality of listings, for users’ conduct or dealings, or for indirect or consequential loss (including lost profit, business or data), including losses connected with fraud or with our anti-fraud measures. AI-assisted features are best-effort and not a guarantee. This is in addition to the general liability limit in section 10.
• Data & law. We handle personal data under our Privacy Policy; a private advertiser’s public property information may be shown without their personal data. These Listings terms are governed by the same law and jurisdiction as the rest of these Terms.
